1. Introduction & Acceptance of Terms

  • These Terms and Conditions govern your use of the ScaleDigital website and the digital services we provide.

  • By using our services, you accept these terms in full. If you disagree with any part of these terms, you must not use our website or services.

2. Intellectual Property Rights (Website & Brand)

  • All content, logos, design elements, text, graphics, and software on the ScaleDigital website are the property of ScaleDigital and are protected by applicable copyright and intellectual property laws.

  • You are granted a limited license only for viewing and utilizing the materials for personal or business evaluation purposes related to our services.

3. Services and Project Execution

  • ScaleDigital provides digital solutions, marketing, web development, and related services as agreed upon in writing or via service contracts.

  • Timelines and deliverables will be mutually discussed and finalized before the project commences.

4. Intellectual Property & Project Ownership (New Addition)

  • All custom designs, code, graphics, and development work created by ScaleDigital remain the property of ScaleDigital until all project dues and final payments are cleared in full.

  • Upon receipt of full and final payment, ownership of the final deliverables will be transferred to the client. ScaleDigital reserves the right to showcase the completed work in our portfolio or promotional materials.

5. Client Responsibilities

  • To ensure smooth project delivery, the client agrees to provide all necessary requirements, content, credentials, and feedback communicated by ScaleDigital within 24 hours.

  • ScaleDigital will not be held responsible for project delays caused by a lack of communication or delayed inputs from the client’s side beyond this timeframe.

6. Payment Terms

  • A mandatory 30% advance payment of the total contract value is required before the commencement of any project or service.

  • Remaining payments must be cleared as per the milestones agreed upon in the invoice or contract. Failure to pay on time may result in a temporary suspension of ongoing services.

7. Cancellation and Termination Policy

To manage resources and workflow fairly, cancellations are governed by the following guidelines:

  • Cancellation Before Project Initiation: If a contract or project is cancelled before any work has officially commenced, a 30% processing fee of the total contract value (or advance payment) will be deducted, and the remaining balance will be refunded.

  • Cancellation After Project Initiation: Once the project has started, advance payments made or resources allocated up to that point are non-refundable.

  • Mid-Contract Termination: In the event of a contract termination by the client after substantial work has begun, a 30% fee will apply to the remaining unbilled value of the contract to compensate for resource allocation.

8. Refund Policy

  • Non-Refundable Advances: Initial deposits and advance payments made for project setup or resource allocation are non-refundable.

  • Delivered Services: Once a milestone, draft, or final digital product has been delivered and approved by the client, no refunds will be issued.

  • Revisions: If you are unsatisfied with any delivered milestone, you must notify us within 7 days of delivery so we can make necessary adjustments as per the original agreement.

9. Limitation of Liability

  • ScaleDigital will not be held liable for any indirect, incidental, or consequential damages (including loss of profits, data, or business opportunities) arising out of the use or inability to use our website or services.

10. Governing Law

  • These terms and conditions are governed by and construed in accordance with the Laws of India, and any legal disputes relating to these terms shall be subject to the exclusive jurisdiction of the courts located in Mumbai, Maharashtra.

11. Changes to Terms

  • ScaleDigital reserves the right to modify, amend, or update these terms and conditions at any time without prior notice. Continued use of our website or services constitutes your acceptance of the updated terms.
